Impact of Temperature on Food Rejection Abstract: Fresh cut leafy green vegetable companies that operate cold supply chains can potentially benefit from information compiled about the reasons of rejections and discarding of products. Most of the time the reason for this is temperature abuse and decay along the distribution chains. This temperature abuse is what causes decay. The vast compilation of information that is available to the cold chain operators from all the departments in the supply chain starting from procurement to the sales and customer services helps monitor and improve the success of the business. It is beneficial to the business to find the underlying cause or root cause of the temperature abuse. This thesis attempts to determine the reasons behind temperature abuse that result in the rejection of the products. If there is a better way of transporting the products without temperature abuse happening to it. If the products distribution in specific packaging and different ways within the transportation vehicle. This thesis will use statistical analysis to analyses the results compiled over a period of three months of rejections and their underlying cause. The findings of this thesis can help operators of transportation cold chains better distribute the product by using the correct packaging unit and distribution arrangement. Introduction: Technology today to monitor temperature if the supply chain environment is fairly accurate. Real-time cold chain monitoring systems are easily available and are used in different industries of perishable foods. The monitoring of these products has made the industry a little bit more clear than before, as it used to seem difficult to understand the handling of products. The information is shared by the industries to their customers. Understanding the information provided may seem difficult for the customer as it may seem like large quantities of information that is not displayed correctly. . Specifically, this thesis seeks to study how cold chain information generated in real-time during distribution process can be interpreted and analyzed on order to reduce the temperature abuse and thus reduce rejections and improve the distribution of products. Numerous areas are possible for investigation: however, temperature abuse due to packing unit, as this may have the greatest impact on the cause of temperature abuse. Additional work will focus on the packaging of the packing units in the transportation vehicles. The areas and spaces that the packing units are put on. The way that these units are packed in the transportation vehicle. The fresh cut leafy greens will be the focus if this study. Raw materials processing facilities and customer distribution centers are the focus locations of the research study. Three processing facilities are studied and these facilities serve number of customers in total around the USA. The company serves these customers all year round and in all their locations. The products are processed, packaged, put into boxes and palletized, then they are loaded onto the transportation vehicle and sent to the distribution centers or stores. As the product is transported, the transportation vehicle is monitored by until it reaches the distribution center. The information is also recorded on paper. The information on excel files on the computer. Rejection information is monitored via a tracking system that notifies specific personnel when a product has been rejected, the location, the amount and the reason of the rejection. The product is then declared or denied if the only reason it was rejected was due to look and not quality or food safety. This data can be compiled and help the business find the underlying causes f these rejections and how to better avoid them. This thesis will look at a model that identifies when a rejection will happen. This will then help the business manage the supply SC chains performance and to take the corrective actions to prevent any product damage, financial losses ad to be able to respond to the specific events in the best way possible.

The power of the British especially influenced the diplomatic and economic values of each of the smaller countries it took control over. The countries that were most influenced by the Industrial Revolution were Africa and Asia. The Industrial Revolution spread to these because they went there looking for more materials to trade with other countries. The British went to these smaller countries to trade, they found that the counties that they went to trade with were very weak in nature. When the British got to these counties they soon took over their ports and set up markets over seas. One of these counties was Africa. The raw materials that they went to go obtain from Africa were gold and diamonds. When the British arrived in Africa they saw that the port was weak and took it over. With the ports now under British’s control they could come and go as they pleased in and out of the country and trade very inexpensively trough-out the county. Also with the control of the ports the British’s ideas were spread quickly. The people of Britain began to take a small role in politics in South and Southeast Asia. Imperialism systems were arranged according to the policy of across sea merchants. .The reason why the British countries were so successful is because the in taking over these small un-industrlaized countries is because Britain was the most powerful county at that time and due to its economics and technology it was easy for them to influence these small UN-industrialized countries. Because these small countries had no other major influences of any other great or powerful powerful nation they were subjected to the power of the European nations.

Furthering my knowledge in finance and economics is one of my goals. As a native of Brunei, a developing country, I would like to contribute to my country’s progress with the use of the knowledge and skills that I acquired during my undergraduate studies. Majoring in accounting and economics has provided me extensive knowledge of various economic principles and theories and their application in the business world. Although the University of Manchester has given me sufficient knowledge in the field that I have chosen, I believe that pursuing to study under this programme would provide me a broad yet focused knowledge in development finance and its practical application in the public sector. I chose to pursue this programme because of its international focus, group work, and emphasis on learning public finance, bank and non-bank financial institutions, international finance organizations, aid agencies and other finance-related areas of study that can help in understanding how the financial theories governing our country and the world economy work. The program is also designed to teach me financial inclusion and microfinance in relation to poverty reduction. My interest in development finance first sparked during my junior years. My wish to contribute to my country’s progress was further intensified by a course about economic policies of developing countries and their role in the international market. Working at the Ministry of Foreign Affairs and Trade Development in Brunei under the Finance Department for summer internship last summer 2007 has also provided me first-hand experience and knowledge in international trade. I am confident that this university has the capacity to provide students with knowledge beyond the conventional financial educational program. The programme of University of Manchester also includes strengthening the analytical decision-making skills of students. It also offers wider academic opportunities and school resources that will deepen my expertise and broaden my perspectives. I am especially interested and looking forward to the overseas field visit which is a crucial part of the programme. Most of the countries visited are developing countries like Brunei which face similar economic situations. The programme also allows students to conduct research in government and non-government organizations and other universities in the U.K. This can not only broaden my knowledge and hone my skills in finance, but also enhance my socializing and communication skills. With hopes and persuasion in my mind, I aim to establish a career that can contribute to the further development of the financial situation in my county. As provided through section 127 (2) of the Act, where the common seal of the organization is used , even than the organization is required to execute the document in the manner provided under subsection 127 (1) and the a person dealing with the company would have the right to rely upon assumptions provided in section 129(6) of the CA. Section 129(5) of the legislation an assumption can be made by a person is relation to a document been properly executed if it has complied with the requirements provided through section 127(1) o the CA. Thus any person who has executed the document may be assumed as the secretary or director of the company. As provided by the provisions under section 129 (6) of the legislation an assumption in relation to the due execution of a document may be made by a person if the document have been executed with the use of common seal under section 127(2). Thus any person who has executed the document may be assumed as the secretary or director of the company. Application It has been given out through the fact of the case study that according to the constitution of the company broad powers have been provided to managing directors of the company. However the constitution limits the power of the director to enter into a contract which has a value of more than $40000. In the given situation it has been provided to us that the contract which has been entered upon by the director is worth $74000. In relation to the occurrence of this situation it has been provided by the constitution of the company that two directors have to sign such contract where the managing director is away for 10 days or more. As provided by the provisions of Section 125 of the Corporation Act an act which is contrary to the constitution of the company is not invalid only because the constitution does not allow it. Therefore in the given situation where the managing director Collin is not able to attend business proceedings for a period of 15 days the other director Pauline has signed a contract worth $74000 with another company the act will not merely be invalid as it is contrary to the provisions of the constitution. This is because the constitution limits the power of the director to enter into a contract which has a value of more than $40000 but the application of section 125 validates any activity contrary to the constitution. Coming to the provisions of section 124(2) it can be stated that the company can get into a contract in a legal manner even in case the contract is not beneficial to the company. Therefore contract which has been entered upon by the other director would be valid irrespective of its consequences on the organization. Applying the provisions of section 127(1) of the CA in this case it can be stated that a document has to be legally executed by the organization. the legal procedures states that a document may be executed by the organization even without using its common seal in situation where it has be properly signed by the at least two directors of the company or one director and one company secretary of the organization. In this case Pauline has asked to Sue to pretend as the Company secretary of the company with respect to signing the contract with the other company where it was eve dent that Sue is actually not the company secretary of the company. Here the provisions of section 127(1) have been contravened in relation to the transaction and the document has not been executed properly. As there were no other directors available Sue was asked by Pauline to act as the company secretary as no other director were present to sign. After the contract had been signed it was recommended by the Pauline that sue should be made the company secretary of the company. In the case of Northside Developments Pty Ltd the court held that any person working on behalf of the company can be conferred upon the authority by the company. Although Sue has been appointed as the company secretary when the contract was signed she was not the secretary. However as she was working on behalf of the company apparent authority will be conferred. Applying the provisions of section 129(2) of the legislation it can be stated that the third party would have right to assume a person as a director or secretary in case it is depicted so through the registers of ASIC. In this situation the third party who had entered into a contract with the company did not have any information in relation to the Sue being the company secretary from the ASIC. Thus they did not make an effort to gain the information from the ASIC and violated the provisions of section 129(2) of the legislation. In addition as provided by Section 129(5) of the legislation an assumption can be made by a person is relation to a document been properly executed if it has complied with the requirements provided through section 127(1) of the CA. Therefore the third party may assume that the persons signing the contract on behalf of the company are in reality the director and company secretary of company. In the situation the contract is not only worth more than $40000 as restricted by the constitution but also have not been signed in accordance with section 127(1). However in the given situation there is a right provided to the IT Company for making an assumption that the contract have been signed duly by the director and company secretary of the company. Further through the application of section 129 (6) of the legislation an assumption in relation to the due execution of a document may be made by a person if the document have been executed with the use of common seal under section 127(2). As per the facts provided in the situation although Sue has been appointed as the company secretary when the contract had been signed she was not holding the position it will be assumed by the it company that she was actually the company secretary and this assumption cannot be falsified by the organization. Observation It has already been observed that a document executed by the company is to be considered as valid only if is signed by two directors or a director and a company secretary of the company. This observation had also been done in the Frank Australias Case. Moreover according to the provisions of section 129(1) of the CA the third party may assume that all regulatory requirements in relation to the constitution and legislations have been met. In addition a person under section 129(2) can rely on the information obtained through the registers of ASIC in relation to the position of director or company secretary of the company. The provisions of the indoor management rule as provided in the Turqlands case had been duly approved in the case of Mahony v East Holyford Mining Co[4]. The two most important reasons which provides support to the indoor management rule are that it would be unfair to impose on the third party the burden of showing that all regulatory requirements have been met and the duty of continuously doing verification. However the indoor management rule is also subjected to a certain exception. The exception states that where a person is dealing with the corporation and has real knowledge that the organization has not complied with existing law or has misrepresented a person as a director than the application of the indoor management rule cannot be done.
